  1. Application of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the Wisdom AI® platform (“Software”) and related subscription services (“Services”). They supplement—and do not replace—the Subscription Agreement or Service Agreement and any Service Order Form executed between you (“Customer”) and Wisdom AI®. Capitalized terms used but not defined herein have the meanings assigned in the Subscription or Service Agreement.

  1. License Grant & Restrictions

2.1 License Grant: Subject to these Terms and full payment of subscription fees, Wisdom AI® grants the Customer a limited, non-exclusive, non-transferable right to access and use the Software and Services for the Customer’s internal business purposes.


2.2 User Access: You may create an unlimited number of User accounts, provided each User is an employee or authorized representative of the Customer under your Subscription Agreement.


2.3 Prohibitions: The Customer shall not:

  1. Sub-license, resell, or otherwise redistribute the Software or Services to any third party;

  2. Use the Software to provide hosting, processing, or managed services to third parties;

  3. Reverse-engineer, decompile, or otherwise attempt to derive the Software’s source code;

  4. Circumvent any technical or access control measures.

  1. Maintenance & Support

3.1 Support Channels: Wisdom AI® offers help and troubleshooting via:

  • Email

  • In-app ticketing system

  • Telephone

  • WhatsApp messaging


3.2 Scope of Support: Both remote (off-site) and on-site support are provided at no additional charge throughout the Term of your subscription.

  1. Data Protection

Wisdom AI® processes all Customer Data in accordance with the Privacy Policy. Please refer to the Privacy Policy for details on how we collect, use, share, and protect your information.

  1. Acknowledgements & Warranty Limitation

5.1 No Warranty of Perfection: The Customer understands that complex software may contain defects or security vulnerabilities. Wisdom AI® does not warrant error-free operation but will use commercially reasonable efforts to address and remediate issues.

 

5.2 Compatibility: The Software is supported only on browsers and systems specified in our documentation. Wisdom AI® makes no guarantees regarding compatibility with other environments.

 

5.3 Disclaimer: Except as expressly provided in these Terms, Wisdom AI® disclaims all other warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

  1. Subscription Term & Cancellation

6.1 Term: Your initial subscription term (“Term”) is set out in the Subscription Agreement or Service Order Form.


6.2 Invoicing & Payment:

  • Invoice-Based Billing: All fees are billed by invoice.

  • Due Date: Invoices are payable within the payment terms stated on each invoice.

  • Late Payments: Past-due amounts may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend Services for invoices overdue by more than 45 days, after providing 15 days’ prior written notice.


6.3 Cancellation:

  • No Early Termination: You may not terminate your subscription before the end of the then-current Term.

  • End of Term: Unless you and Wisdom AI® agree otherwise in writing, access to the Software and Services will expire at the end of the Term.

  • Refund Policy: All payments are final—no refunds are available for any Term, regardless of usage.

  • Post-Term Data Handling: Upon expiry or non-renewal, we will retain your data as described in our Data Retention policy and then securely delete or anonymize it.

  1. Updates & Upgrades

7.1 Automatic Updates: Wisdom AI® may deploy minor updates (bug fixes, patches, performance improvements) without prior notice.


7.2 Major Upgrades: At least one major release—featuring substantial new functionality—will be made available annually. Wisdom AI® will inform Customers of significant upgrade plans via email or in-app notifications.

  1. Limitation of Liability

In no event shall Wisdom AI®’s total liability to the Customer exceed the amount actually paid by the Customer to Wisdom AI® for the Services during the calendar month in which the event giving rise to the liability occurred.

 

Wisdom AI® shall not be liable for any indirect, incidental, consequential, special, or exemplary damages of any kind, including but not limited to loss of profits, business interruption, or loss of data, even if it has been advised of the possibility of such damages.

  1. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Maldives, without regard to conflict-of-law principles. Any disputes arising under or related to these Terms shall be subject to the exclusive jurisdiction of the courts of the Maldives.
